ARTICLE 2 - PREAMBLE
2.1. Fields of application
The present terms and conditions define the general terms and conditions of sale of the Products of TIMELESS PEARLY (hereinafter, "TIMELESS PEARLY"), a simplified joint stock company registered in the Paris Trade and Companies Register under the number 841 886 831, and whose registered office is located at 20 rue de Longchamp-75116-Paris.
These GTC are exclusively intended to govern the distance sales made online, via the Website, between TIMELESS PEARLY and the Customer.
These Terms and Conditions, together with the Order confirmation e-mail, the invoice and the tracking number sent to the Customer for the package containing the Items purchased and shipped, constitute the only contractual documents governing the relationship between TIMELESS PEARLY and the Customer, to the exclusion of any other document and in particular any photograph of the Items which are only indicative and non-contractual.
The GTC are opposable to the Customer who acknowledges, by checking a box provided for this purpose, to have been informed and to have accepted them before placing an order.
The temporary or permanent inapplicability of one of the clauses of the GTC shall not constitute a waiver by TIMELESS PEARLY or the Customer of the applicability of all the clauses of the GTC.
2.2 Changes to the T&Cs
TIMELESS PEARLY reserves the right to modify the GTC at any time.
In case of modification(s), the applicable GTC are those in force at the date of the Order.
ARTICLE 3 - ARTICLES
3.1 Characteristics of the Products
TIMELESS PEARLY undertakes to make its best efforts to describe the Products as accurately as possible.
The photographs illustrating the Products have no contractual value.
3.2. Availability of the Products
Items are offered and delivered within the limits of available stocks, without TIMELESS PEARLY's liability being incurred in this respect.
In the event of unavailability of an Item, TIMELESS PEARLY will inform the Customer.
In such an event, the order will be cancelled and TIMELESS PEARLY will proceed to reimburse the Customer as soon as possible if payment has already been made.
TIMELESS PEARLY reserves the right to withdraw any item from sale at any time.

ARTICLE 4 - PRICES OF ITEMS
All Sales Orders placed with TIMELESS PEARLY imply a payment obligation on the part of the Client.
TIMELESS PEARLY reserves the right to modify, at any time, the selling price of the Products.
The selling prices of the Products are indicated including VAT and expressed in Euros.
For orders destined for countries outside the European Union, the Customer shall pay, in addition to the selling price of the Products, customs duties and taxes in his/her country.
The selling prices of the Articles are those in force at the day of the order.
The selling prices of the Articles do not include the carriage costs nor the customs duties, which are invoiced in supplement of the selling price.
The total amount of the Order, including shipping costs, is indicated on the page summarizing the Order.
ARTICLE 5 - ORDERING
5.1. Conditions relating to the nature of the Order and the Customer
The Customer acknowledges and accepts that, in order for the contract with TIMELESS PEARLY to be validly formed, the Customer must be a natural person and not purchase Items in the course of a professional activity.
In case of doubt, especially regarding the abnormally high quantity of Items purchased, TIMELESS PEARLY reserves the right not to complete the sale. In this case, if payment has already been made, TIMELESS PEARLY undertakes, if payment has already been made, to reimburse the price of the Articles, excluding any shipping costs.
5.2 Steps of the Order
To place an Order, the Customer fills his virtual basket by selecting the Articles and the desired quantities.
The Customer can freely modify his virtual basket.
The Customer then clicks on the "Confirm my basket" button.
A summary of the Order will appear showing the nature of the Items, the prices and quantity(ies) of the selected Items and the total amount of the Order.
The Customer can then check the details of the Order and modify them.
The Customer is then invited to fill in the delivery and payment information.
Until then, the Customer may return to the previous pages to correct any errors and possibly modify the Order.
The Customer is then invited to click on the "Confirm Order and Proceed to Payment" button.
The transaction number is then communicated to the Customer.
An e-mail confirming the Order will be sent to the Customer with the details of the Order and the transaction number.
In the event that the Customer does not receive this email, it is the Customer's responsibility to contact TIMELESS PEARLY.
On the day of shipment of the Products, TIMELESS PEARLY will send the Customer an email with the invoice and the tracking number of the Order.
ARTICLE 6 - PAYMENT
All orders entail a payment obligation on the part of the Customer.
Payment shall be made in full upon confirmation of the Order by the Customer.
Payments can be made on the Site by Paypal account or by credit card belonging to the following networks CB, Visa, Eurocard, MasterCard, American Express.
Online payments are made via the secure online payment platform MERCANET ESSENTIEL of BNP PARIBAS, a public limited company registered in the Paris Trade and Companies Register under number 662 042 449 and whose registered office is located at 16 boulevard des Italiens - 75009 Paris.
TIMELESS PEARLY remains the owner of the Articles until their complete payment by the Customer. In the event of partial payment or default of payment, TIMELESS PEARLY may, at its option, pursue full payment of the Articles or claim ownership of them.
ARTICLE 7 - DELIVERY
7.1. Delivery times
The Products shall be delivered to the Customer in accordance with the delivery times indicated at the time of placing the Order.
Delivery times are understood to be in working days.
In all cases, TIMELESS PEARLY undertakes to deliver the Products within a maximum of 30 days from the confirmation of the Order.
As each item is made to order, delivery times are given as an indication only and may not vary significantly.
Delivery times may also vary, especially around the end of the year holidays.
In such cases, TIMELESS PEARLY will inform the Customer of any delay in delivery and will propose either to continue the sale by agreeing on a new delivery date for the Items, or to cancel the sale and refund the full amount paid by the Customer, if payment has already been made.
In the event of late delivery, the Customer may instruct TIMELESS PEARLY, by registered letter with acknowledgement of receipt or by e-mail, to make the delivery within a reasonable additional time. If delivery is not made within this new time limit, the Customer may cancel the Order by registered letter with acknowledgement of receipt or by e-mail addressed to TIMELESS PEARLY. TIMELESS PEARLY will then reimburse the Customer, within fourteen days at the latest, all sums received for the cancelled Order, without the Customer being entitled to claim any damages or interest.
The Order shall be deemed cancelled upon receipt by TIMELESS PEARLY of the letter or e-mail informing it of such cancellation, unless TIMELESS PEARLY has performed in the meantime.
In any case, any delay in delivery will not give rise to any damages or interest on the part of TIMELESS PEARLY.
7.2. Terms of delivery
Items are delivered to the address indicated by the Customer at the time of the Order.
It is the Customer's responsibility to provide the precise information required for the delivery of the Items ordered.
The Customer chooses the desired delivery method.
The Customer will be able to follow the different stages of the delivery of the Items ordered thanks to the tracking number that will be communicated to him/her under the conditions set forth in Article 5 hereof.
In case of absence of the Customer at the time of the delivery, the chosen carrier will leave a notice of passage indicating its coordinates and/or modalities to allow the Customer to recover its order.
Delivery is deemed to have been made as soon as the ordered items are handed over to the Customer, as evidenced by the delivery confirmation system used by the carrier.
7.3. Transfer of risks
The risks of loss or damage of the Articles are transferred to the Customer at the moment when the latter, or a third party that he has designated, takes physical possession of them.
Items delivered to the Customer by one of the carriers offered by TIMELESS PEARLY travel at the risk of TIMELESS PEARLY.
Items delivered to the Customer by a carrier chosen by the Customer travel at the Customer's risk from the time of delivery to the carrier.
7.4. Delivery costs
The expenses of delivery of the Articles are the responsibility of the Customer and vary according to the place of delivery of the Articles as well as the mode of delivery chosen by the Customer.
These delivery costs are added to the amount of the Order.
However, the delivery costs are offered to the Customer as soon as the total amount of the ordered Articles exceeds 350 euros of purchase.
In the event that an Order is returned to TIMELESS PEARLY due to an error on the part of the Customer in entering the delivery address, the Customer shall be responsible for the cost of delivery.
ARTICLE 8 - RIGHT OF WITHDRAWAL
8.1. Conditions, deadlines and methods of exercising the right of withdrawal
The Customer has the faculty to use his right of retractation within 14 days as from the delivery of the ordered Articles such as defined in article 7.2 of the CGV.
This 14-day period starts the day after the delivery of the ordered Articles, at the beginning of the first hour of the first day and ends at the expiration of the last hour of the last day of the period.
If this period expires on a Saturday, a Sunday or a holiday, it is extended until the next working day.
The Customer has the right to withdraw from the contract without having to give any reason or pay any penalty.
In order to exercise the right of withdrawal, the Customer must inform TIMELESS PEARLY of its intention to withdraw within the said period of 14 days, by sending the withdrawal form provided for this purpose in the appendix hereto to the following e-mail address: customerservice@timelesspearly.com, or by registered mail with acknowledgement of receipt to the following address TIMELESS PEARLY - 211 Rue Saint-Honoré- 75001- Paris.
Exclusion of the Customer's right of withdrawal:
On the other hand, in accordance with article L221-28 3° of the French Consumer Code, the Customer does not have such a right of withdrawal for personalized items, made according to his personal specifications and/or retouched at his request.
8.2. Effects of withdrawal - return and refunds
After exercising its right of withdrawal, the Customer undertakes to send to TIMELESS PEARLY the Items it wishes to return within 14 days of exercising its right.
This 14-day period is deemed to have been respected if the Customer returns the Items before the expiration of this 14-day period.
The Articles must be returned intact, accompanied by their possible accessories, in their original packaging, and a copy of the purchase invoice, to TIMELESS PEARLY at the following address Timeless Pearly - 211 Rue Saint-Honoré- 75001-PARIS.
In order to make a return, the Customer will return the Articles to TIMELESS PEARLY by any means of his choice. However, the Customer must prove to TIMELESS PEARLY and keep the proof of shipment of the returned Products, which implies a shipment allowing to prove a certain date.
The Customer must inform TIMELESS PEARLY of the tracking number of the parcel containing the returned items by e-mail to the following address Customerservice@timelesspearly.com, or by registered mail with acknowledgement of receipt to the following address TIMELESS PEARLY - 211 Rue Saint-Honoré- 75001 Paris.
Once the Items have been returned and their condition has been verified, TIMELESS PEARLY will refund the Customer the invoiced price of the returned Items within 14 days of receipt of the said Items and according to the same payment methods used at the time of the Order. TIMELESS PEARLY will send an email to the Customer informing him/her that the refund order has been given.
TIMELESS PEARLY will reimburse the Customer for the total amount paid, including delivery charges. However, if the Customer has chosen a delivery method that is more expensive than the standard delivery method offered by TIMELESS PEARLY, the additional costs incurred will not be refunded to the Customer.
Delivery charges will only be refunded if the entire order is returned to TIMELESS PEARLY. Delivery charges will not be refunded in the event of a partial return of the Order.
In the event of a return that is not made in accordance with the above requirements, TIMELESS PEARLY reserves the right not to take back the Items and not to refund the returned Items. The returned items will then be reshipped to the Customer at the Customer's sole expense.
8.3. Return costs
In the event of withdrawal, the return costs of the Articles are the responsibility of the Customer.
8.4. Return costs in case of error or omission in the description of the Articles
In the event of an error or omission in the description of the Products, TIMELESS PEARLY will reimburse the Customer for the price of the Product(s), in addition to any delivery charges and return shipping costs, within 14 days of receipt of the Product(s) and according to the same payment methods as those used at the time of the Order.
ARTICLE 9 - GUARANTEES
In the event of an error or omission in the description of the Products, TIMELESS PEARLY will reimburse the Customer for the price of the Product(s), in addition to any delivery charges and return shipping costs, within 14 days of receipt of the Product(s) and according to the same payment methods as those used at the time of the Order.
ARTICLE 9 - GUARANTEES
TIMELESS PEARLY uses stones and mother-of-pearl for the manufacture of certain Articles, each of which has its own specificities and characteristics.
These characteristics cannot be analyzed as a defect of conformity or a hidden defect.
9.1. Legal guarantee of conformity
In accordance with the provisions of the French Consumer Code, some of which are recalled below, TIMELESS PEARLY guarantees the Customer against all defects in the conformity of the Articles.
The Customer has a period of two years from the delivery of the Products to act on the basis of the legal guarantee of conformity.
In the event of a lack of conformity of the Articles delivered, the Customer may choose between repair and replacement of the Article, unless this choice entails a cost that is clearly disproportionate to the other method, given the value of the Article or the importance of the defect. TIMELESS PEARLY is then obliged to proceed, unless this is impossible, according to the method not chosen by the Customer.
The Customer is exempted from proving the lack of conformity of the Articles within 24 months following the delivery of the Articles.
In the event that the delivered Products do not correspond to the specifications of the Order, the Customer is invited to inform TIMELESS PEARLY as soon as possible by contacting its customer service department, whose contact details are specified in article 11 hereof, and to return the said Products to TIMELESS PEARLY, intact and in their original packaging, following the instructions which will be communicated to it by the latter.
In the event of a return under the legal warranty of conformity, the cost of the return will be borne by TIMELESS PEARLY.
In case of impossibility of repair or replacement, TIMELESS PEARLY undertakes to reimburse the Customer within 14 days from the receipt of the Articles.
Reminder of the provisions of the Consumer Code:
Article L217-4 of the Consumer Code:
"The seller delivers a good in conformity with the contract and is responsible for the defects of conformity existing at the time of delivery.
He is also responsible for defects in conformity resulting from the packaging, the assembly instructions or the installation when the latter has been put at his charge by the contract or has been carried out under his responsibility.
Article L217-5 of the Consumer Code:
"The good is in conformity with the contract:
1° If it is fit for the purpose usually expected of a similar good and, where appropriate : - if it corresponds to the description given by the seller and has the qualities that the seller presented to the buyer in the form of a sample or model ;
- if it presents the qualities that a purchaser can legitimately expect taking into account the public declarations made by the salesman, by the producer or by his representative, in particular in publicity or labelling;
2° Or if it has the characteristics defined by mutual agreement between the parties or is suitable for any special use sought by the buyer, brought to the attention of the seller and accepted by the latter.
Article L217-8 of the Consumer Code:
"The buyer is entitled to demand the conformity of the goods to the contract. However, he cannot contest the conformity by invoking a defect that he knew or could not ignore when he contracted. The same applies when the defect originates in the materials he himself supplied.
Article L217-12 of the Consumer Code:
"The action resulting from the lack of conformity is prescribed by two years from the delivery of the good."
Article L217-13 of the Consumer Code:
"The provisions of this section do not deprive the buyer of the right to exercise the action resulting from redhibitory defects as it results from Articles 1641 to 1649 of the Civil Code or any other action of a contractual or extra-contractual nature that is recognized by law."
9.2 Guarantee of hidden defects
Article 1641 of the Civil Code:
"The seller is bound by the warranty for latent defects in the thing sold which render it unfit for the purpose for which it was intended, or which so diminish that use that the buyer would not have acquired it, or would have given only a lesser price, if he had known of them."
Article 1648 of the Civil Code:
"The action resulting from redhibitory defects must be brought by the purchaser within two years of the discovery of the defect."
In the event that the Customer decides to implement the warranty against hidden defects of the Article, he can choose between the resolution of the sale or a reduction of the price paid.

ARTICLE 11 - RESPONSIBILITY
TIMELESS PEARLY shall not be held responsible in case of
The Client's inputting of incorrect information concerning his/her identity, contact details, delivery address, e-mail address or any other information that would prevent the dispatch of the confirmation e-mail mentioned in article 5 above, or the delivery of the Sales Order;
the failure to execute or improper execution of the Contract, whether due to the Client's fault or to the insurmountable and unforeseeable act of a third party, or to any act of God or force majeure as defined in article 1218 of the French Civil Code;
In case of force majeure, the performance of TIMELESS PEARLY's obligations will be suspended as long as the force majeure persists. TIMELESS PEARLY will inform the Customer of the existence of such force majeure by e-mail. If the case of force majeure continues beyond a period of 15 days, the Customer will have the right to terminate the contract and TIMELESS PEARLY will reimburse the amount of the price of the Articles that may have been received within a period of 14 days from the notification of the decision of the Customer.
disruption and/or total or partial strike of the postal services, means of transport and/or telecommunications;
of interruption or suspension of the operation of the Site for some reasons that they are independent of its will;
on the assumption that the Articles would not be in conformity with the legislation of the country of the Customer where they are delivered; the Articles being in conformity with the French legislation in force;
of breakage, deterioration of the Articles caused by a negligence, a deterioration or an inappropriate use of the Articles.
ARTICLE 12 - INTELLECTUAL PROPERTY
The Website and all of its contents (including texts, comments, illustrations, etc.) are the exclusive property of TIMELESS PEARLY.
Any reproduction, in whole or in part, of the Website and its contents is strictly prohibited. Similarly, the creation of hypertext links to the Website or to any of its pages is prohibited.
TIMELESS PEARLY is the owner of the intellectual property rights on the Website, its design, as well as, in particular, without this list being restrictive, of the TIMELESS PEARLY brand, its logos and acronyms, its domain name www.timelesspearly.com, the Articles and their photographs, and the related drawings and models.

ARTICLE 13 - PROTECTION OF PERSONAL DATA
In accordance with the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, known as the "RGPD", the Customer is hereby informed that TIMELESS PEARLY proceeds with the automated processing of his/her personal data that he/she may provide on the Website and/or communicate by any other means to TIMELESS PEARLY.
The personal data collected from the Clients are the following: surname, first name, gender, postal address, e-mail address, telephone and mobile numbers.
TIMELESS PEARLY is the sole recipient of the personal data collected.
The personal data of the Clients are not transferred to countries outside the European Union.
In accordance with the provisions of the said Regulation (EU) 2016/679, TIMELESS PEARLY is committed to ensuring the security and confidentiality of its Customers' personal data.
The computerized processing of the Client's personal data is carried out in order to:
- manage the Sales Order process,
- contact the Client in case of difficulties encountered in relation to the Sales Order,
- inform the Client of any promotional offers;
- send out mailings, newsletters, catalogs, etc., unless the Client has explicitly agreed not to receive such mailings;
- to ensure the collection of any amounts due;
- to ensure the best possible service to the Customer;
- comply with legal and regulatory obligations.
TIMELESS PEARLY is responsible for the processing of personal data.
The personal data of the Customer is kept for a period of five years following the last Order placed.
The Client may at any time :
oppose the collection of their personal data;
to have access to it;
request the modification or deletion of his personal data;
to ask for the restitution (right of portability);
to oppose their use, in particular for marketing or mailing purposes, and more generally to ask to limit their use;
to withdraw his consent to the collection of his personal data.

ARTICLE 14 - COOKIES
Cookies are tracers deposited and/or read on the user's terminal when browsing the Website.
TIMELESS PEARLY only uses functional cookies that are strictly necessary for the provision of its services and the proper functioning of the Website. Their purpose is to facilitate the user's navigation on the Website.
To this end, these cookies make it possible to memorize the browsing information of the users of the website when they consult the website.
Given their nature, the deposit of these cookies does not require the consent of the various users of the Site.
The cookies have a life span of one year from the date of their deposit on the user's terminal.
ARTICLE 15 - APPLICABLE LAW, MEDIATION, LITIGATION
The GTC are subject to French law.
In the event of any difficulty or claim whatsoever, the Customer shall, before taking any legal action, first contact TIMELESS PEARLY, by contacting its customer service department, in order to try to reach an amicable solution.
In the event of failure to reach an amicable solution, the Customer may submit the dispute to the Mediator Médicys whose postal address is: 73 boulevard de Clichy - 75009 Paris, and whose electronic address is: contact@medicys.fr or www.medicys-consommation.fr
In addition, at the European level, in accordance with Article 14.1 of Regulation (EU) No. 524/2013 of the European Parliament and of the Council of 21 May 2013, the Customer may have recourse to the online dispute resolution platform set up by the European Commission, which is accessible via the following link

In the absence of an amicable resolution of the dispute, any dispute will fall under the jurisdiction of the French Courts.
